Brello, LLC Terms & Conditions of Use

These Terms & Conditions of Use govern your use of online interfaces, properties, websites, technology, and services owned or controlled by Brello, LLC ("Brello," "we," "us," or "our"), including any services made available to you through the Website or any other means. By using the Website or Services you acknowledge that you have read, understand, and expressly agree to all terms contained within these Terms of Use and the Privacy Policy.

Unless you provide a timely notice to opt-out, this agreement requires that you resolve any dispute with us through final and binding arbitration on an individual basis. This means that you waive all rights to a trial by jury and to participate in a class action. Exceptions and instructions for opting out are described below.

01.Order Services

  1. Brello Services. Brello makes available certain technology, products, and services sold or offered by third-party health care providers ("Providers"), pharmacies, and other third-party vendors. Currently, we provide access to prescription fulfillment services offered by AP Max, Inc. d/b/a Southend Pharmacy. Our Services may include, without limitation, the facilitation of agreements between Providers and Consumers, text/verbal/video telecommunications between Providers and Consumers, and appointment scheduling, reminders, and notifications. Virtual consultations are provided by Providers that utilize the Website to connect with you. Brello is not a provider of clinical advice or a Provider, and does not endorse or condone the actions or methods of any Provider.
  2. Geographic Restriction. We provide this Website for use only by persons located in certain locations of the United States. We make no claims that the Website and Services are accessible or appropriate outside of those locations. If you access from outside the United States, you do so at your own risk and are responsible for compliance with local laws.
  3. Professional Services. By requesting a virtual consultation with a Provider through the Platform, you are requesting to enter into a Provider-patient relationship with the applicable Provider, who shall be solely responsible for the provision of professional clinical services. You will only receive clinical care once a bona fide Provider-patient relationship is established by mutual acceptance.
  4. No Clinical Advice. Brello makes general education resources available and facilitates your access to telehealth Provider services. Any material provided through the Website (except clinical services received from a Provider) is for informational purposes only and is not a substitute for clinical advice or treatment. Always seek the advice of your physician with any questions regarding your health, and never disregard professional clinical advice or delay in seeking it because of information provided through the Platform. If you believe you are having a medical emergency, call 911 immediately.
  5. Clinical Disclaimers. Brello makes no representation or warranty as to the content or quality of any treatment decision, recommendation, or response from any Provider. All information or advice you receive from a Provider comes from the specific Provider and not from Brello. You and the Provider are solely responsible for all information transmitted during any consultation. Use of this Website is not a replacement for in-person care or for your existing primary healthcare provider relationship.
  6. Physician Authority and Prescription Disclaimer. Providers reserve the right to deny care or prescriptions for any reason, including potential misuse of services or safety concerns. Providers maintain independent medical judgment and authority to determine the appropriate course of treatment, which may include off-label uses. There is no guarantee that you will be treated or issued a prescription. All medical decisions should be made in consultation with your Provider.
  7. Pharmaceutical Products. Certain pharmaceuticals may not be available in all jurisdictions and may require a prescription. Reliance on any information provided through the Platform is solely at your own risk. If a prescription is ordered by a Provider, it will be sent to one of our pharmacy partners who will fill and ship the medication directly to you. You may alternatively fill the prescription at a pharmacy of your choice.
  8. Supplements and Non-Prescription Products. Brello offers supplements and non-prescription products ("Brello Products") for sale. These are not intended to diagnose, treat, cure, or prevent any disease. You are responsible for reading all product labels, warnings, and instructions before use.
  9. Professional Fees. If you engage in a virtual consultation, we will charge a clinical encounter fee ("Provider Fee"). If you are prescribed medication, we will charge a pharmacy service fee ("Pharmacy Fee"). Together these are the "Professional Fees". The Provider Fee and Pharmacy Fee are non-refundable.

02.Use of Services

  1. Use of Services. You are required to provide your name, email address, and phone number upon registering for an account. We will use these to send you important updates and notifications.
  2. Consumer Responsibilities. By using the Services, you accept responsibility for yourself. Your relationship for receiving healthcare services is with your Provider, and you assume full responsibility for all risk associated with such services. You agree not to hold Brello liable for any malpractice or substandard treatment a Provider may render.
  3. Provider Credentials. Brello does not confirm the credentials of Providers using the Services. It is your responsibility to separately confirm that a Provider is in good standing with their respective licensing board.
  4. Privacy Policy. Use of the Website and Services is subject to our Privacy Policy, which is incorporated by reference into these Terms of Use.
  5. Registered Users. Portions of the Website are only available to Registered Users. Each Registered User is responsible for controlling the privacy and use of their username and password, and for promptly notifying us of any unauthorized use at info@brellohealth.com.
  6. Consumer Representations and Eligibility. You may only use the Services if you are located in the United States and are at least eighteen (18) years of age. You represent that you have the legal ability to agree to these Terms, that the information you provided is accurate, and that you will comply with all applicable laws.
  7. Emergency Services. Neither the Website nor Services are intended to support emergency calls. In the event of a clinical emergency, dial 911 immediately.

03.Modifications

  1. Modifications to Terms of Use. Brello reserves the right to update, change, add, or remove provisions from these Terms of Use at any time without prior notice. Changes become effective immediately upon posting. If you do not agree, you must stop using the Services.
  2. Modification of Website and Services. Brello may make changes, updates, and revisions to the Website or Services at any time without prior notice. We may perform maintenance requiring temporary suspension. You are not entitled to claim damages for such suspension.

04.Intellectual Property

  1. Generally. All materials on the Website, including design, layout, and organization, are owned and copyrighted by us or our affiliates. You may not reproduce, retransmit, distribute, or exploit for commercial gain any portion of the Website, Services, or Materials.
  2. Permissible Use. You shall not reverse engineer, disassemble, decompile, or adapt the Website; bypass any security device; or use the Website for benchmarking, competing products, or any purpose to our commercial disadvantage.
  3. Limited License. You are granted a limited, non-assignable, non-sublicensable, non-exclusive license to use the Website for personal, non-commercial use through your individual account.

  5. Trademarks. Our name and all related names, logos, product and service names, designs, and slogans are trademarks of Brello or its affiliates. You must not use such marks without our prior written permission.

05.Communications

  1. General. Your use of the Website to communicate with us, any Provider, or any third-party vendor is governed by these Terms and the Privacy Policy. Standard calling, messaging, and data charges may apply. You are responsible for any such charges from your carrier.
  2. Calling & SMS Messages. By using the Services or sending messages, you voluntarily opt in to communicating electronically. You consent to receive communications from us and/or Providers, including if your phone number is registered on any "Do Not Call" list. You represent that any mobile phone number you provide is valid and yours.
  3. Security. We maintain administrative, technical, and physical safeguards to protect your personal information. However, transmission over the internet is not fully secure. SMS and email you send or receive are not encrypted. Do not send health or other sensitive information by text or email.
  4. Content of Communication. We do not endorse or take responsibility for the content of communications. You agree not to access the Website unlawfully, transmit false or defamatory content, impersonate others, tamper with the Website, or use bots.
  5. Informational Purposes. Any information displayed on the Website is for informational purposes only and is not a professional opinion or clinical advice unless provided by a Provider.
  6. Information Sharing. We do not share your personal information with third parties outside those discussed in these Terms and the Privacy Policy. We will never share your telephone number or mobile information with unaffiliated third parties for marketing.
  7. Opt-Out Method. To opt out of SMS communications, text STOP to any message or email info@brellohealth.com. You may continue to receive SMS for a short period while we process your request.

06.Third-Party Materials

  1. Third-Party Websites. We may provide external links to third-party websites. Your use of third-party websites is at your own risk and subject to the third-party's terms. We disclaim any liability for information on linked sites.
  2. No Endorsement. We do not endorse the promotions, products, publications, or services of any third-party. Any views expressed by third parties are solely their own.

07.Payment Terms

  1. Payment. You agree that we may charge your credit card or other payment mechanism on file for all amounts due, including taxes and service fees. We may change prices at any time with prior notice and an opportunity to terminate.
  2. Notice of Financial Responsibility. You are solely responsible for all applicable charges. Brello collects Professional Fees on behalf of Providers and the Pharmacy. Neither Brello nor Providers participate in any payor network or submit claims to commercial, federal, or state payors.

08.Termination

  1. Right to Terminate. We reserve the right to terminate, rescind, revoke, or modify access to the Website or Services without notice at any time for any reason. Any violation of these Terms will result in immediate termination.
  2. Effect of Termination. After termination, Brello has no further obligation to coordinate Services. Provisions including Indemnification, Limitation of Liability, Limitation on Time to File Claims, and Agreement to Arbitrate survive termination.

09.Indemnification; Disputes

  1. Indemnification. You agree to hold harmless, defend, and indemnify us and our affiliates from all liabilities, claims, demands, and expenses arising from your use or misuse of the Website or Services, your breach of these Terms, or any negligent act or omission by you.
  2. Limitation of Liability. IN NO EVENT SHALL WE BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THIS WEBSITE OR THE PROVISION OF OR FAILURE TO MAKE AVAILABLE ANY SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  3. Disclaimer. THE WEBSITE OR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. BRELLO DISCLAIMS ANY LIABILITY FOR TELEHEALTH SERVICES OFFERED OR DELIVERED BY A PROVIDER.
  4. Governing Law. These Terms of Use shall be governed by the laws of the state of Texas, without regard to principles of conflicts of law.
  5. Limitation on Time to File Claims. ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION OCCURS, OTHERWISE SUCH CLAIM IS PERMANENTLY BARRED.
  6. Agreement to Arbitrate; Venue. You agree that any dispute arising out of these Terms will be settled by binding arbitration administered by the American Health Lawyers Association in Harris County, Texas. You may opt out by providing a written Arbitration Opt-Out Notice within thirty (30) days of first agreeing to these Terms. You waive the right to a jury trial and to participate in a class action.
  7. Arbitration Fees. The costs of any arbitration, including arbitrator fees (excluding each party's attorneys' fees) shall be paid by the claimant who initiates the arbitration.

10.Miscellaneous

  1. Notices. We may provide notice by email, general notice on the Website, SMS, or written communication. You may give notice to us by mail to Brello, 415 Westheimer Rd., Ste. 103, Houston, TX 77006, or info@brellohealth.com.
  2. Waiver. No delay by us in the exercise of any right shall be deemed a waiver.
  3. Severability. If any provision of these Terms is found invalid, the remaining provisions shall remain in full force and effect.
  4. No Agency Relationship. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Brello.
  5. Assignment. You may not assign your rights under these Terms. Brello may assign or transfer these Terms in whole or in part to any affiliate or third-party.
  6. Complaints. You have the right to file formal complaints regarding your Provider by contacting the medical board in your state directly.
